These Terms of Service ("Terms") govern your access to and use of ReDefyne's services, website, and any associated applications (the "Services"). This agreement is between you and ReDefyne ("we," "us," or "our").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Services.

ReDefyne provides comprehensive branding, design, development, and digital marketing services. Our services include but are not limited to:

• Brand Strategy and Identity Development • Website Design and Development • UI/UX Design • Digital Marketing and SEO • Content Creation and Management • Social Media Marketing • E-commerce Solutions • Mobile Application Development

The specifics of each service will be outlined in individual project agreements. We reserve the right to modify, suspend, or discontinue any part of our services with or without notice.

Clients are responsible for:

• Providing timely and constructive feedback throughout the project • Supplying necessary content, assets, and materials in the requested format • Maintaining open communication channels with our team • Meeting agreed-upon deadlines for reviews and approvals • Ensuring all provided content adheres to applicable laws and regulations • Obtaining necessary permissions for any third-party materials • Reviewing and testing deliverables within agreed timeframes Failure to meet these responsibilities may result in project delays or additional costs.

Upon receipt of full payment, clients receive full rights to the final deliverables with the following conditions:

• ReDefyne retains rights to preliminary concepts and unused designs • We maintain the right to display the work in our portfolio and marketing materials • Any third-party materials (stock photos, fonts, etc.) are subject to their respective licenses • The client guarantees they have necessary rights to any materials provided to us • For website projects, a "Designed & Developed by ReDefyne" attribution link must remain in the footer. Removal of this attribution without prior written agreement will result in additional licensing fees of $2,500 • Early removal of attribution requires written approval and may incur licensing fees as specified in the project agreement

All source files and working files remain the property of ReDefyne unless specifically outlined in the project agreement. The attribution requirement applies for a minimum period of 12 months from project completion, after which it can be discussed for removal through proper channels.

Our payment terms are structured as follows:

• A non-refundable upfront deposit (typically 50%) is required before work begins • Remaining payments will be scheduled according to project milestones • Final payment must be received before the release of final deliverables • Late payments will incur a 1.5% monthly interest charge • All invoices are payable within 14 days of issue • We accept payment via bank transfer, credit card, or other specified methods Additional services or revisions beyond the project scope will be billed separately.

We maintain strict confidentiality regarding:

• Client business information and trade secrets • Project details and specifications • Pricing and financial arrangements • Customer data and analytics • Strategic plans and marketing initiatives Our team members sign confidentiality agreements, and we implement security measures to protect client information. This confidentiality obligation survives the termination of our agreement.

Our revision policy includes:

• Two rounds of minor revisions included in standard project costs • Major revisions or changes to approved work may incur additional charges • Revision requests must be submitted in writing • Timeline impacts of revisions will be communicated promptly • Additional revision rounds can be purchased as needed We reserve the right to decline revision requests that conflict with best practices or brand standards.

Project timelines are established with the following considerations:

• Project scope and complexity • Client response times and availability • Resource allocation and team capacity • Holiday schedules and business hours • Buffer time for unexpected issues Delays caused by client-side factors may result in timeline adjustments and potential additional costs.

Either party may terminate the agreement under these conditions:

• Written notice required 15 days in advance • Client responsible for payment for work completed • Kill fee may apply for project cancellation • All confidentiality obligations remain in effect • Partially completed work remains property of ReDefyne • Client materials will be returned upon request Early termination fees may apply as specified in individual project agreements.

ReDefyne's liability is limited to:

• The total amount paid for services • Direct damages only; not consequential damages • Claims made within 30 days of service completion • Verified errors or omissions in our deliverables We are not liable for: • Third-party services or products • Client-provided content or materials • Business losses or revenue impacts • Data loss or security breaches beyond our control
